1. Definitions

Unless otherwise stated:

  • “Company”, “we”, “us”, or “our” refers to Vaneurin Petro Chem (Pty) Ltd.
  • “Customer” refers to any natural or juristic person purchasing goods or services from the Company.
  • “Goods” refers to all products supplied by the Company, including petroleum fuels, chemical solutions, detailing products, and household essentials.
  • “Services” refers to any additional consulting, delivery, blending, or custom services offered by the Company.

2. Application of Terms

These terms govern all agreements, quotations, orders, deliveries, and transactions between the Company and the Customer unless explicitly modified in writing and signed by both parties.

3. Orders & Quotations

  • All quotations are valid for 7 (seven) calendar days unless otherwise specified.
  • Orders are binding upon written confirmation or payment receipt.
  • The Company reserves the right to accept or decline orders at its sole discretion.

4. Prices & Payment Terms

  • All prices exclude VAT unless otherwise stated.
  • Pricing may fluctuate based on market conditions, currency exchange, and raw material availability.
  • Unless otherwise agreed:
    • Full payment is due prior to dispatch for retail clients.
    • Approved trade clients may receive 30-day payment terms (subject to credit vetting).
  • Late payments are subject to 2% interest per month, compounded.

5. Delivery & Risk

  • Risk passes to the Customer upon collection or delivery of goods.
  • Delivery dates are estimates; the Company shall not be liable for delays beyond its control (e.g., supplier delays, strikes, transport issues).
  • Customers must inspect goods upon receipt and report shortages/damage within 48 hours.

6. Returns & Refunds

  • No returns are accepted without prior written authorisation.
  • Returns must be:
    • Requested within 7 days
    • In original, unopened packaging
    • Accompanied by proof of purchase
  • Custom blends, special orders, and opened goods are non-refundable.
  • Refunds are subject to a 15% handling fee unless caused by Company error.

7. Product Use & Liability

  • All products must be used as per manufacturer’s instructions and Safety Data Sheets (SDS).
  • The Company will not be liable for:
    • Misuse or improper storage
    • Compatibility issues not disclosed by the Customer
    • Damage caused by third-party mixing or re-blending
  • Our liability shall be limited to the purchase price of the goods.

8. Intellectual Property

All branding, trademarks, formulations, documentation, and media assets remain the exclusive property of Vaneurin Petro Chem. Unauthorized use, reproduction, or distribution is strictly prohibited.

9. Force Majeure

The Company shall not be liable for non-performance or delays due to events beyond its control, including but not limited to: natural disasters, pandemics, strikes, governmental restrictions, or supply chain interruptions.

10. Privacy & Data Use

We collect and process personal information in line with POPIA. Please refer to our Privacy Policy for full details. By engaging with us, you consent to such processing and data storage as required for business purposes.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be submitted to the jurisdiction of the Magistrates’ Court or High Court, depending on the claim’s value.

12. Amendments

The Company reserves the right to amend these Terms at any time. The updated Terms will be made available on our website and take effect upon publication.
